Welcome to B2BSMSMail.com (“B2BSMSMail“, “Platform“, “Service“, “we“, “our“, or “us“).

These Terms of Service (“Terms“) govern your access to and use of the B2BSMSMail Platform. By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Software License Agreement.

If you do not agree to these Terms, you must not access or use the Platform.

1. Platform Purpose and Scope (B2B Only)

B2BSMSMail is designed exclusively for business-to-business (B2B) outreach.

By using the Platform, you agree to:

  • Use the Platform only to communicate with business contacts acting in a professional capacity.
  • Use the Platform solely for lawful B2B communications.
  • Ensure that your messaging complies with all applicable laws and regulations.
  • Respect recipients’ communication preferences and opt-out requests.

You must not use the Platform to:

  • Message consumers or residential phone numbers.
  • Send messages to personal contacts for consumer purposes.
  • Conduct B2C marketing campaigns.
  • Send spam, unsolicited bulk messages, or affiliate promotions.
  • Send political, fraudulent, deceptive, abusive, or misleading communications.

Any use of the Platform for consumer messaging or unlawful purposes may result in immediate suspension or permanent termination of your account.

2. User Responsibility and Legal Compliance

You are solely responsible for your use of the Platform and for ensuring that your messaging activities comply with all applicable laws and regulations, including but not limited to:

  • Telephone Consumer Protection Act (TCPA)
  • Canada’s Anti-Spam Legislation (CASL)
  • Applicable privacy, telecommunications, and electronic communications laws in your jurisdiction

B2BSMSMail does not determine whether your messages are legally permitted and does not provide legal advice.

3. AI-Assisted Compliance Safeguards

B2BSMSMail uses AI-assisted compliance tools, safeguards, and risk indicators to help promote responsible platform usage and identify potential compliance risks.

However:

  • AI systems are inherently limited and may produce errors, omissions, or inaccurate results.
  • AI-generated compliance indicators are provided for informational purposes only.
  • These safeguards do not guarantee legal compliance.
  • They must not be relied upon as legal advice or approval to send messages.

You remain solely responsible for ensuring that every message complies with applicable law.

4. Consent and Outreach Practices

You agree that:

  • Where consent is required by law, you will obtain valid consent before sending messages.
  • Your initial outreach must be professional, truthful, and non-deceptive.
  • Every message must clearly identify the sender.
  • Messages must include a lawful and functional opt-out mechanism where required.
  • If you are uncertain whether a message is legally permitted, you will not send it until appropriate legal guidance has been obtained.

5. Opt-Out Obligations

You agree to honor all unsubscribe or opt-out requests immediately.

This includes:

  • Respecting any “STOP”, “Unsubscribe”, or equivalent request.
  • Immediately ceasing further communication with recipients who opt out.
  • Maintaining suppression lists where required by law.

Failure to honor opt-out requests constitutes a material breach of these Terms.

6. Data Sources and Contact Information

You may use the Platform with:

  • Contact information that you have lawfully obtained or uploaded.
  • Publicly available business contact information used in accordance with applicable laws.

B2BSMSMail:

  • Does not sell personal data.
  • Does not verify the legality of contact lists uploaded by users.
  • Does not guarantee that any contact data is suitable for your particular jurisdiction or intended use.

You remain solely responsible for ensuring that your contact data and outreach activities are lawful.

7. Platform Governance and Enforcement

To protect the Platform, our users, and third parties, B2BSMSMail reserves the right to enforce these Terms at its sole discretion.

Enforcement actions may include:

  • Automated compliance restrictions
  • Campaign limitations
  • Temporary account suspension
  • Permanent account termination
  • Disabling specific Platform features

B2BSMSMail is not obligated to:

  • Monitor every message sent through the Platform.
  • Review or approve campaigns before they are sent.
  • Investigate every complaint or dispute.

Enforcement decisions may be made without prior notice.

8. Prohibited Activities

You may not:

  • Misrepresent your identity or business.
  • Impersonate another individual or organization.
  • Send deceptive, misleading, fraudulent, or abusive messages.
  • Attempt to bypass Platform safeguards or security measures.
  • Use the Platform for illegal or unauthorized activities.
  • Use the Platform in any manner that may expose B2BSMSMail to legal, financial, or reputational harm.

9. Disclaimer of Warranties

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.

To the fullest extent permitted by law, B2BSMSMail makes no warranties or guarantees regarding:

  • The legality of user-generated messaging.
  • Message delivery rates.
  • Recipient response rates.
  • Accuracy or reliability of AI-assisted compliance checks.
  • Platform availability or uninterrupted service.
  • Fitness for a particular purpose.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • B2BSMSMail shall not be liable for any user-generated content, campaigns, or messaging activities.
  • Users assume full responsibility for any fines, penalties, legal claims, regulatory investigations, or disputes arising from their use of the Platform.
  • B2BSMSMail shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from your use of the Platform.

11. Termination

B2BSMSMail may suspend, restrict, or terminate your access to the Platform at any time if:

  • You violate these Terms.
  • Your activities create legal, compliance, operational, or reputational risks.
  • We reasonably believe your use of the Platform may harm other users or third parties.

Termination does not relieve you of obligations incurred before termination.

12. Changes to These Terms

We may revise these Terms from time to time.

Updated versions will become effective upon publication on the Platform unless otherwise stated.

Your continued use of the Platform after any changes become effective constitutes your acceptance of the revised Terms.
