Software License Agreement

Review the terms governing your license to access and use the B2BSMSMail platform. This agreement explains your rights, responsibilities, permitted use, and the conditions under which the software is licensed to you.

By accessing or using B2BSMSMail.com (“Software“, “Platform“, “Service“, “we“, “our“, or “us“), you agree to be bound by this Software License Agreement (“Agreement“).

If you do not agree to this Agreement, you must not access or use the Platform, Software, or any related services.

1. Grant of License

Subject to your compliance with this Agreement, B2BSMSMail grants you a limited, non-exclusive, non-transferable, revocable license to access and use the B2BSMSMail Platform solely for your internal business purposes.

This Software is licensed, not sold.

Nothing in this Agreement transfers ownership of the Software or any intellectual property rights to you.

2. License Restrictions

You agree that you will not, directly or indirectly:

  • Copy, reproduce, modify, adapt, translate, or create derivative works of the Software.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the Software’s source code.
  • Resell, sublicense, lease, rent, distribute, or commercially exploit the Software.
  • Use the Software in violation of any applicable law, regulation, or these Agreements.
  • Circumvent, disable, or attempt to bypass Platform safeguards, security measures, or usage restrictions.
  • Use automated tools or unauthorized methods to interfere with the operation of the Platform.

Any unauthorized use immediately terminates the license granted under this Agreement.

3. Ownership and Intellectual Property

All rights, title, and interest in and to the Software, including but not limited to:

  • Source code
  • Software architecture
  • User interface
  • Branding
  • Logos
  • Trademarks
  • Documentation
  • Features
  • Intellectual property rights

remain the exclusive property of B2BSMSMail and its licensors.

Except for the limited license expressly granted in this Agreement, no ownership or intellectual property rights are transferred to you.

4. Access and Availability

B2BSMSMail may, at its sole discretion:

  • Update or modify the Software.
  • Add, remove, or change features.
  • Suspend or discontinue any portion of the Platform.
  • Perform maintenance or security updates.

These actions may occur with or without prior notice.

We do not guarantee uninterrupted availability, continuous access, or error-free operation of the Software.

5. User Content and Data

You retain ownership of any content, files, contact information, or other data you upload or submit to the Software.

By using the Platform, you grant B2BSMSMail a limited, non-exclusive right to process, store, and transmit such data solely for the purpose of:

  • Operating the Platform
  • Providing requested services
  • Improving functionality
  • Maintaining security and system integrity

All data processing is subject to our Privacy Policy.

6. Compliance Responsibility

The Software may include AI-assisted compliance tools, safeguards, and risk indicators designed to encourage responsible use.

However:

  • The Software does not provide legal advice.
  • AI-generated recommendations are informational only.
  • Compliance tools do not guarantee compliance with applicable laws or regulations.
  • You remain solely responsible for ensuring that your use of the Software complies with all applicable legal requirements.

7. Termination

This license remains in effect until terminated.

B2BSMSMail may suspend or terminate this Agreement immediately if:

  • You breach any provision of this Agreement.
  • Your use of the Software creates legal, compliance, operational, or reputational risk.
  • Termination is required by applicable law, regulation, or governmental authority.

Upon termination:

  • Your right to access and use the Software immediately ends.
  • You must cease all use of the Platform.
  • Provisions intended to survive termination shall remain in effect.

8. Disclaimer of Warranties

The Software is provided on an “AS IS” and “AS AVAILABLE” basis.

To the fullest extent permitted by law, B2BSMSMail expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy
  • Reliability
  • Availability
  • Security
  • Performance

We do not warrant that the Software will be uninterrupted, error-free, secure, or free of harmful components.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • B2BSMSMail shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages arising from or related to your use of the Software.
  • This limitation applies regardless of the legal theory under which liability is asserted.
  • Your sole and exclusive remedy for dissatisfaction with the Software is to discontinue its use.

10. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of Florida.

By using the Software, you consent to the exclusive jurisdiction and venue of those courts.

11. Severability

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

12. Entire Agreement

This Software License Agreement, together with the:

  • Terms of Service
  • Privacy Policy
  • Any additional legal notices or policies incorporated by reference

constitutes the entire agreement between you and B2BSMSMail regarding your use of the Software and supersedes all prior agreements, communications, and understandings relating to the subject matter of this Agreement.

13. Acknowledgment

By accessing or using B2BSMSMail.com, you acknowledge that you have:

  • Read this Software License Agreement.
  • Understood its contents.
  • Agreed to be legally bound by its terms and conditions.

If you do not agree to these terms, you must discontinue use of the Platform immediately.
